Terms of Use

These Terms of Use govern your access to and use of the AwardTrueUp website and public contract-check service. They do not govern the scope, fees, deliverables, or other terms of any paid analysis, which will be subject to a separate written engagement agreement.

Effective date: October 2026
Last updated: October 2026

About these Terms

These Terms apply when you access this website, use the public contract-check tool, or otherwise use features made available through the public AwardTrueUp website.

In these Terms, “AwardTrueUp,” “we,” “us,” and “our” refer to AwardTrueUp.

If you enter into a separate written agreement with us for paid analysis or other services, that agreement governs those services. If these Terms conflict with that separate agreement concerning paid services, the separate engagement agreement controls.

The public service

The website provides information about SCA price-adjustment analysis and offers a browser-based preliminary contract-check tool to help contractors evaluate potential adjustment indicators.

The preliminary screening evaluates customer-reported information locally in your browser to help determine whether a situation appears worth further review. It does not transmit your answers to our servers, store records, create a paid engagement, establish eligibility for an adjustment, or obligate either party to proceed with additional services.

Preliminary contract checks

The public contract check is an informational preliminary screening process evaluated locally in your browser based on user-selected parameters.

Use of the screening tool does not create a paid engagement, establish entitlement to a contract adjustment, verify the information entered, or obligate either party to proceed with additional services.

A supported adjustment analysis requires independent evidence, verification, and a separately agreed written scope of work.

Independent commercial service

AwardTrueUp is an independent commercial service. It is not affiliated with, endorsed by, or acting on behalf of the U.S. Department of Labor, any contracting agency, or the U.S. Government.

Results are not guaranteed

Whether a price adjustment applies, what amount is supportable, and whether a request is accepted or paid depend on the applicable contract, legal and contractual requirements, facts, supporting evidence, and Government action.

AwardTrueUp does not guarantee approval, modification, recovery, or payment.

Illustrative examples appearing on the website are synthetic and do not represent actual customer results or expected outcomes.

Public information

Publicly available contract or wage-determination information may be used to identify potential review opportunities, but public information alone is not treated as sufficient to establish entitlement or calculate a supported adjustment amount.

Information you provide

You agree to provide information that you reasonably believe to be accurate and complete for the purpose for which it is submitted.

If you submit information on behalf of an organization, you represent that you are authorized to provide that information for the requested review.

You should not submit information through the public contract-check form that the form does not request, including payroll files, Social Security numbers, banking information, or unrelated employee-level information.

If a later analysis requires supporting records, you are responsible for ensuring that you are permitted to provide those records and for following the submission instructions provided for that stage of the review.

Information submitted through the website is handled in accordance with our Privacy Policy and applicable data-handling practices. Submission through the website does not create attorney-client privilege, work-product protection, or any other legal privilege.

Your contract obligations remain your responsibility

Submitting a contract check, receiving a response from AwardTrueUp, or beginning a review does not pause, extend, satisfy, or preserve any notice period, filing deadline, contractual requirement, claim requirement, record-retention obligation, or other deadline that may apply.

You remain responsible for identifying and complying with requirements and deadlines applicable to your contract and circumstances.

Separate scope for paid work

If we determine that a full analysis may be appropriate, we may offer a separate scope of work or engagement agreement describing the services, fee, responsibilities, deliverables, and other applicable terms.

No paid work begins solely because you submitted the public contract check.

Website descriptions of analyses, workpapers, evidence support, or other potential deliverables are general descriptions of the service and do not create a commitment to provide any particular deliverable except as stated in a separate engagement agreement.

Fees

The initial public contract check is currently offered without charge.

Any fee for additional analysis or services will be disclosed and agreed before paid work begins.

Unless expressly stated in a separate agreement, submitting the initial check does not create a payment obligation.

Your information remains yours

You retain your rights in information and records that you provide.

You authorize AwardTrueUp to process those materials only as reasonably necessary to evaluate the requested review, communicate with you, perform separately agreed services, operate and protect the service, and satisfy applicable business or legal obligations.

Our handling of personal information is also described in our Privacy Policy.

Website content and intellectual property

AwardTrueUp or its licensors retain rights in the website, original software, original written content, templates, analytical methodologies, and other proprietary materials.

You may view, download, or print reasonable portions of publicly available website material for your internal business evaluation and reference.

You may not reproduce, republish, sell, license, materially modify, or commercially exploit website content except as permitted by law or with our permission.

Nothing in these Terms claims ownership of customer-provided records, Government publications, statutes, regulations, wage determinations, or other third-party materials merely because they are referenced, processed, or incorporated into an analysis.

Rights relating to paid deliverables are governed by the applicable engagement agreement.

Acceptable use

You agree not to:

  • use the website for unlawful or fraudulent purposes;
  • attempt unauthorized access to systems or data;
  • interfere with or disrupt the website or its features;
  • introduce malicious code;
  • impersonate another person or organization;
  • submit information they do not have authority to provide;
  • use automated activity in a manner that materially disrupts the service.

Third-party services

The website may depend on or link to services operated by third parties. Those services may have their own terms and privacy practices.

We are not responsible for third-party websites or services that we do not control merely because the website links to or interacts with them.

Website availability and informational accuracy

We may change, suspend, or discontinue public website features from time to time.

We do not guarantee that the website or contract-check service will always be available, error-free, or uninterrupted.

We aim to keep public information accurate and useful, but Government regulations, contract requirements, agency practices, and other relevant information can change.

Website content should not be relied upon as a substitute for reviewing the actual contract, applicable requirements, current authoritative sources, and case-specific evidence.

Website provided as available

To the extent permitted by applicable law, the public website and preliminary contract-check service are provided on an “as is” and “as available” basis.

We do not warrant that the website will always be available, uninterrupted, error-free, or that information available through the public website will be sufficient for any particular contract decision.

Limitation of liability

To the extent permitted by applicable law, AwardTrueUp will not be liable for indirect, incidental, special, consequential, or punitive damages arising from use of, or inability to use, the public website or preliminary contract-check service.

Liability relating to paid services will be governed by the applicable engagement agreement.

Governing law and disputes

Use of the free informational website and preliminary screening tool is subject to applicable law. These public website Terms do not designate a particular state law or exclusive court venue. Disputes are subject to the law and jurisdiction otherwise applicable to the parties and the matter.

For questions or concerns, contact AwardTrueUp at hello@awardtrueup.com so we can try to address the matter. This contact route does not restrict any rights or remedies available under applicable law.

Any paid review or consulting engagement is governed by the specific jurisdiction, confidentiality arrangements (including any agreed Mutual Non-Disclosure Agreement (NDA)), and terms set forth in the signed client engagement agreement. An NDA is available before exchanging sensitive payroll or tax records in a scoped engagement.

Severability and no waiver

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.

A failure to enforce a provision of these Terms does not waive the right to enforce it later.

Changes to these Terms

We may update these Terms as the website or service evolves. Updated Terms apply to use of the website after their effective date, except where applicable law requires another form of notice or consent.

Changes to these Terms do not modify an existing paid engagement agreement unless that agreement is separately amended.

When material changes are made, we will update the “Last updated” date above and provide additional notice where appropriate.
